Terms of Service

These Terms of Service ("Terms") govern your access to and use of CodeGrex software, websites, APIs, and related services (collectively, the "Services") operated by CodeGrex from Tallinn, Estonia.

By creating an account, downloading the IDE, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

CodeGrex provides an AI-native code editor, optional cloud AI routing, a web portal for account and billing management, and documentation. Features may change over time; we may add, modify, or discontinue features with reasonable notice where practicable.

The IDE may connect to third-party AI providers using your account credentials (BYOK) or CodeGrex-managed models subject to your plan and available credits.

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly at support@codegrex.com if you suspect unauthorized access.

You must be at least 16 years old (or the minimum age required in your jurisdiction) to use the Services.

Paid features require an active subscription or sufficient credits as described on our Pricing page. Prices and plan limits may change; we will apply changes to new purchases and, where required by law, provide notice before renewing subscriptions at new rates.

Payments are processed by Stripe. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled according to our published refund policy and applicable consumer law. Credit packs and usage-based consumption are generally non-transferable.

You agree not to:

• Use the Services to violate any law or third-party rights.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Interfere with or disrupt the Services (including excessive automated requests or abuse of rate limits).
• Use the Services to develop malware, spam, or content that is illegal, harassing, or exploitative.
• Reverse engineer or circumvent technical protections except where permitted by law.
• Resell or sublicense the Services without our written permission.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Services or other users.

CodeGrex and its licensors own the Services, branding, and underlying technology. We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal development purposes in accordance with these Terms.

You retain ownership of code and content you create. You grant us only the rights necessary to operate the Services (for example, processing your API requests and storing account-related metadata as described in the Privacy Policy).

AI suggestions, completions, and agent actions may be inaccurate or incomplete. You are responsible for reviewing, testing, and approving all changes before relying on them in production. CodeGrex does not guarantee that AI output is correct, secure, or free of third-party infringement.

The Services may integrate with third-party tools, models, extensions, or websites. Those services are governed by their own terms. We are not responsible for third-party products or for data you choose to send to external providers.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEGREX AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CODEGREX IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) EUR 100, EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

You will indemnify and hold CodeGrex harmless from claims arising out of your misuse of the Services, your content, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.

You may stop using the Services at any time and may delete your account from the dashboard or by contacting support. We may terminate or suspend your access for breach of these Terms or for operational reasons with notice where reasonable.

Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law principles. Courts in Tallinn, Estonia shall have exclusive jurisdiction, except where mandatory consumer protection rules in your country require otherwise.

We may update these Terms. The current version will always be posted at this URL with an updated date. Continued use after changes become effective constitutes acceptance of the revised Terms.
